Terms of Use.

Effective Date: November 11, 2026.

1. Acceptance.

By accessing or using thecapitalgoat.com (the "Site"), you agree to these Terms of Use. If you do not agree, do not use the Site.

2. Who We Are.

The Capital GOAT is a brand of Vision Mortgage LLC, a Maine limited liability company with principal office at 352 Warren Avenue, Suite 6, Portland, Maine 04103. "We," "us," and "our" mean Vision Mortgage LLC d/b/a The Capital GOAT.

3. Nature of Services.

We are a commercial real estate capital broker, not a lender. We do not make loans, commit capital, or guarantee approval, rates, or terms. We are not a registered investment adviser or registered broker-dealer, and we do not offer, sell, solicit, or recommend securities. Equity placements referenced on this Site are sponsor-issuer transactions; the sponsor is the issuer and is responsible for all securities law compliance, including Regulation D and state Blue Sky laws.

4. No Offer; No Commitment.

Nothing on the Site is a commitment to lend, a loan approval, a pre-approval, an offer of credit, an offer to sell securities, a solicitation of an offer to buy securities, or investment, legal, accounting, or tax advice.

5. Business Purpose Only.

All financing referenced on the Site is for business purpose only. Loans are not for personal, family, or household use and are not subject to TILA, RESPA, HMDA, or the federal SAFE Act.

6. User Eligibility.

You represent that you are at least 18 years old, accessing the Site on behalf of a business entity, and authorized to bind that entity to these Terms.

7. Intellectual Property.

All content on the Site, including text, graphics, logos, marks, photographs, designs, the Penny Capital Method, the Capital Map, and any frameworks or methodologies, is owned by Travis Penny or Vision Mortgage LLC, or licensed to us, and protected by U.S. and international intellectual property laws. You may not copy, reproduce, modify, distribute, scrape, transmit, display, perform, or create derivative works of any content without our prior written consent. Trademarks may not be used without our prior written consent.

8. Submissions.

Any information you submit through Submit Deal, Talk to Travis, Quick Connect, the launch list, or other Site forms is governed by our Privacy Policy. You represent that all information you submit is accurate and that you have the right to submit it.

9. Third Party Links.

The Site may link to third party sites. We do not control those sites and are not responsible for their content, accuracy, or practices. Linking does not imply endorsement.

10. No Warranties.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE.

11. Limitation of Liability.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL VISION MORTGAGE LLC, THE CAPITAL GOAT, TRAVIS PENNY, OR ANY AFFILIATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS OR LOST OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY INFORMATION ON THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

12. Indemnification.

You agree to indemnify, defend, and hold harmless Vision Mortgage LLC, The Capital GOAT, Travis Penny, and their affiliates, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use or misuse of the Site, (b) your breach of these Terms, (c) any content or information you submit, or (d) your violation of any law or third party right.

13. Governing Law.

These Terms are governed by the laws of the State of Maine, without regard to conflict of laws principles.

14. Dispute Resolution; Binding Arbitration; Class Action Waiver.

Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Portland, Maine. Judgment on the award may be entered in any court of competent jurisdiction. YOU AGREE THAT ANY DISPUTE WILL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

15. Changes.

We may update these Terms at any time. Continued use of the Site after changes means you accept the updated Terms.

16. Severability.

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

17. Entire Agreement.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Site.
